Sladen Snippet - Electronic Execution of Company Documents Now Permanent

The Corporations Amendment (Meetings and Documents) Bill 2021 (Bill) passed the Senate on Thursday 10 February 2022.

The Bill establishes a permanent mechanism to allow companies and registered schemes to hold hybrid (in person and remote) meetings and also makes permanent the temporary reforms to section 126 and section 127 of the Corporations Act, which were due to expire in March 2022.

This news brings the execution of company documents into the 21st century. The passing of the Bill is a welcomed conclusion to almost two years of pandemic related uncertainty and provides due confidence to company officers when executing documents.

We expect the Bill to receive Royal Assent shortly, with the changes to the execution of documents to occur the day after Royal Assent is received and the changes to company meetings to occur on the earlier of the receipt of Royal Assent or 1 April 2022.
